These terms apply to every engagement between Nathan Michael Swan, sole trader, ABN 90 601 721 559 ("we", "us") and the client who purchases our services ("you"). By paying an invoice you accept these terms.
We supply editorial production services: research, written articles, and social media assets produced from those articles, together with a publishing schedule and working notes supplied with each delivery explaining what was produced and the reasoning behind it. The full description of the service and the delivery schedule for the proof month are set out on our home page and form part of these terms.
We do not publish on your behalf and we do not require access to your account passwords. You publish, and you decide what is published.
On full payment of the invoice covering it, ownership of the articles and assets produced for you passes to you, and you may use, edit and publish them without restriction. Everything delivered in the proof month is yours whether or not you continue.
We keep ownership of our own underlying methods, research systems, templates and production tooling. We may describe an engagement as a case reference only with your written permission.
Prices are listed in full in our pricing section, in Australian dollars. We are not currently registered for GST, so no GST is charged. If registration becomes required, you will be told in writing before any invoice changes.
The proof month is payable once, in advance, before work starts. Standing seats are billed monthly in advance. Payments are processed by Stripe; we do not see or store your full card details. No charge is ever raised that has not been named in writing and agreed by you beforehand. We do not use automatic price increases; any change to a standing seat rate requires your written agreement and takes effect from the following billing month.

We will keep your commercial information, client information and internal documents confidential and use them only to perform the service, unless disclosure is required by law. This obligation continues after the engagement ends.
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law, which cannot be excluded. Because our services are supplied for less than $100,000, the consumer guarantees apply to this engagement even though it is a business-to-business supply.
Where the Australian Consumer Law permits us to limit liability for a failure to comply with a consumer guarantee, our liability is limited to resupplying the services or paying the cost of having them resupplied. Subject to that, and to the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue or opportunity.
We are not responsible for the consequences of publishing decisions you make, for material you alter after delivery, or for the acts of third-party platforms.
We may end an engagement on written notice if an invoice remains unpaid after 14 days, if we are asked to produce material we consider misleading or in breach of a regulatory obligation, or if continuing would put our own standards at risk. Where we end an engagement, we refund the unused portion of any period already paid for.
These terms are governed by the law of Queensland, Australia, and the courts of that state have jurisdiction.
We may update these terms. The version that applies to your engagement is the version published on the date you last paid an invoice. Material changes are notified to current clients by email before they take effect.
